Assistance with choice of entity; drafting of business documents including corporate and partnership operating agreements and buy/sell agreements; financial due diligence and legal assistance with sale and/or purchase of a business.
Preparation of individual and business federal and state income tax returns and preparation of quarterly estimates; preparation of trust, gift tax, and estate tax returns; tax planning to minimize federal and state income taxes and gift and estate taxes.
Representation of business and individual clients in front of a variety of taxing authorities including the Internal Revenue Service, Colorado Department of Revenue, Colorado Department of Labor and various county and municipal authorities. We may be able to help resolve outstanding account balances with the taxing authorities, in some instances for less than was originally owed, by preparing and filing an Offer in Compromise. We may also be able to assist with the preparation of an Installment Agreement which allows a taxpayer to pay taxes due over a longer period of time. We also work with the client and the taxing authority to abate penalties and prepare and file delinquent tax returns. When necessary or advisable, we can represent clients in the United States Tax Court.
Advise clients, as well as other attorneys and accountants, on the potential taxability of a settlement award. Assist during the litigation to insure that the correct language and characterization of damages are ultimately agreed upon in order to minimize income tax.
Assistance with the probate and estate administration process. Includes filing individual, estate, and trust tax returns, probating the estate with the probate court, locating and inventorying assets and liabilities, transferring assets to trusts and beneficiaries, inheritance disputes and contested wills, duty of fiduciary issues involving trustees, creditor notification and creditor disputes.
Representation before the IRS on any tax matter, no matter who prepared your return. As tax counselors, we will represent you, for your benefit, during an IRS or state income tax audit.
